This work is our passion and our responsibility: our mission is to make businesses more productive and people’s lives more fulfilling. <h2>Role Overview</h2> The Vice President, Corporate Controller will serve as the Company’s senior accounting leader, responsible for the integrity of Agility Robotics’ financial reporting, accounting operations, internal controls, compliance, and financial infrastructure. Reporting directly to the Chief Financial Officer, this highly visible leadership role will be instrumental in building a world-class accounting organization and preparing the Company for the demands of operating as a public company. This position will partner closely with the executive leadership team and leaders across Finance, Legal, Operations, Manufacturing, Supply Chain, Human Resources, and Information Technology to establish scalable financial processes, systems, and controls that support the Company’s rapid domestic and international growth. The ideal candidate combines deep technical accounting expertise with demonstrated success building high-performing accounting organizations in high-growth technology or manufacturing companies. This individual will be a strategic, hands-on leader who embraces automation, operational excellence, and continuous improvement while maintaining the highest standards of financial integrity and corporate governance. <h2>Key Responsibilities</h2> <h3>Financial Reporting & Close</h3> <ul> <li style="font-size: 10pt;">Lead the monthly, quarterly, and annual financial close processes, ensuring timely and accurate reporting.</li> <li style="font-size: 10pt;">Prepare consolidated financial statements in accordance with U.S. GAAP.</li> <li style="font-size: 10pt;">Develop and maintain accounting policies, technical accounting memoranda, and accounting position papers.</li> <li style="font-size: 10pt;">Ensure the integrity, accuracy, and completeness of all financial reporting.</li> <li style="font-size: 10pt;">Analyze financial statements, identify significant fluctuations and business trends, and communicate key insights to FP&A team (for departmental budget vs actual analysis) and executive leadership.</li> <li style="font-size: 10pt;">Develop management reporting packages and present quarterly financial results, accounting updates, and process improvement initiatives to executive leadership and the Board of Directors.</li> <li style="font-size: 10pt;">Ensure revenue recognition aligns with contractual terms/obligations and incoterms.</li> <li style="font-size: 10pt;">Work collaboratively with operations, manufacturing and engineering for evaluation of periodic warranty reserves, capitalization impacts and/or appropriate accruals.</li> <li style="font-size: 10pt;">Oversee valuation of warrants, stock based compensation and any other embedded derivatives related to financial instruments/incentives and/or liabilities.</li> </ul> Public Company Experience and Readiness <ul> <li style="font-size: 10pt;">Lead accounting readiness initiatives supporting the Company’s transition to the public markets.</li> <li style="font-size: 10pt;">Coordinate preparation of audited financial statements.</li> <li style="font-size: 10pt;">Build and oversee SEC reporting processes, including Forms 10-K, 10-Q, 8-K, Proxy Statements, and other required filings.</li> <li style="font-size: 10pt;">Establish disclosure controls, reporting calendars, and governance processes.</li> <li style="font-size: 10pt;">Partner with Legal, Investor Relations, and external advisors to ensure compliance with SEC, Nasdaq, and other regulatory requirements.</li> <li style="font-size: 10pt;">Implement public-company accounting best practices across the finance organization.</li> <li style="font-size: 10pt;">Work alongside Audit partner and Audit Committee/Board of Directors including the negotiation of annual accounting services.</li> <li style="font-size: 10pt;">Liaise with Auditor for preparation of rep letters and other associated processes around routine filings, prospectuses, ATM facilities and potential future equity/debt offerings</li> <li style="font-size: 10pt;">Oversee presentation materials for the Audit Committee. </li> </ul> <h3>Internal Controls & SOX</h3> <ul> <li style="font-size: 10pt;">Design, implement, and maintain a scalable Sarbanes-Oxley (SOX) internal control framework.</li> <li style="font-size: 10pt;">Establish internal controls and governance processes that evolve alongside the Company’s rapid growth and operational complexity.</li> <li style="font-size: 10pt;">Document, test, monitor, and remediate key financial controls.</li> <li style="font-size: 10pt;">Lead SOX readiness initiatives and coordinate internal control audits with external auditors.</li> <li style="font-size: 10pt;">Be aware of future deadlines around emerging growth and non-accelerated filing status.</li> <li style="font-size: 10pt;">Ensure implementation of ERP selection/implementation is both useful for and compliant with our business, business model and best practices/internal controls. </li> <li style="font-size: 10pt;">Promote a culture of strong governance, compliance, and enterprise risk management. </li> </ul> <h3>Accounting Operations</h3> <ul> <li style="font-size: 10pt;">Lead all accounting functions, including General Ledger, Accounts Payable, Accounts Receivable, Payroll, Fixed Assets, Inventory, Cost Accounting, Revenue Accounting, Equity Administration, and Cash Management.</li> <li style="font-size: 10pt;">Ensure compliance with ASC 606 revenue recognition guidance.</li> <li style="font-size: 10pt;">Oversee manufacturing accounting, inventory valuation, standard costing, gross margin analysis, and operational accounting processes.</li> <li style="font-size: 10pt;">Strengthen working capital management across cash, receivables, payables, and inventory.</li> <li style="font-size: 10pt;">Ensure accurate accounting for stock-based compensation, equity transactions, and complex technical accounting matters.</li> <li style="font-size: 10pt;">Develop scalable accounting policies, procedures, and workflows that support continued organizational growth.</li> <li style="font-size: 10pt;">Support the establishment of accounting infrastructure and processes for future international operations. </li> </ul> <h3>Audit & Tax and Compliance </h3> <ul> <li style="font-size: 10pt;">Serve as the primary liaison with external auditors.</li> <li style="font-size: 10pt;">Lead annual audits and quarterly review processes.</li> <li style="font-size: 10pt;">Own regulatory reporting and financial compliance activities.</li> <li style="font-size: 10pt;">Coordinate income tax compliance, tax provision, and statutory reporting with external tax advisors.</li> <li style="font-size: 10pt;">Support lender reporting and debt covenant compliance, as applicable.</li> <li style="font-size: 10pt;">Ensure timely completion of all financial audits and regulatory filings. </li> </ul> <h3>Systems & Process Improvement</h3> <ul> <li style="font-size: 10pt;">Lead ERP implementation, optimization, and finance systems integration initiatives.</li> <li style="font-size: 10pt;">Improve financial close efficiency through automation and process standardization.</li> <li style="font-size: 10pt;">Partner cross-functionally to redesign and improve business processes across Finance, Manufacturing, Operations, Supply Chain, and IT.</li> <li style="font-size: 10pt;">Develop scalable financial infrastructure capable of supporting rapid organizational growth.</li> <li style="font-size: 10pt;">Lead finance-related strategic initiatives and special projects. organization.</li> </ul> <h2>Qualifications</h2> <ul> <li style="font-size: 10pt;">Bachelor’s degree in Accounting or Finance.</li> <li style="font-size: 10pt;">CPA required.</li> <li style="font-size: 10pt;">10+ years of progressive accounting experience, including leadership roles.</li> <li style="font-size: 10pt;">Public accounting experience with a Big Four or nationally recognized accounting firm strongly preferred.</li> <li style="font-size: 10pt;">Demonstrated success serving as a Controller or Assistant Controller in a high-growth technology or manufacturing company.</li> <li style="font-size: 10pt;">Deep knowledge of U.S. GAAP, SEC reporting requirements, and technical accounting.</li> <li style="font-size: 10pt;">Experience implementing and operating within a SOX-compliant internal control environment.</li> <li style="font-size: 10pt;">Experience leading external audits and managing complex accounting matters.</li> <li style="font-size: 10pt;">Strong ERP experience (NetSuite, SAP, Oracle, Microsoft Dynamics, or similar).</li> <li style="font-size: 10pt;">Excellent analytical, problem-solving, and communication skills.</li> <li style="font-size: 10pt;">Demonstrated ability to communicate effectively with executive leadership, Board members, auditors, investors, and cross-functional business partners.</li> <li The final salary offered to a successful candidate will be dependent on several factors that may include but are not limited to: job-related knowledge, skills, and experience.
