12pt;"><strong>About the Role</strong></span></p> <p><span style="font-size: 10pt;">As Sr. Counsel, Technology Transactions, you will assist with commercial contracting and deal execution across the full lifecycle of our humanoid robotics business.</span></p> <p><span style="font-size: 10pt;">You will work closely with Sales, Business Development, Finance, Engineering, Manufacturing, and Supply Chain teams to structure, negotiate, and close deals that support the design, manufacture, and commercialization of our robots.</span></p> <p><span style="font-size: 10pt;">This is a highly cross-functional, high-impact role for someone excited about solving novel commercial and contracting challenges raised by bringing bleeding-edge autonomous robotic systems to market.</span></p> <p><span style="font-size: 12pt;"><strong>About the Work</strong></span></p> <p><span style="font-size: 10pt;"><strong>Commercial Contracting & Deal Support</strong></span></p> <ul> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Draft, review, and negotiate a wide range of commercial agreements, including customer agreements, pilot and deployment agreements, and licensing agreements,</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Partner with Sales and Business Development to structure deal terms that balance business objectives with legal risk.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Support 0→1 commercial launches and novel deal structures for early-stage customer and partner relationships.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Develop and maintain template agreements, playbooks, and negotiation guidelines to scale the contracting process.</span></li> </ul> <p><span style="font-size: 10pt;"><strong>Supply Chain & Manufacturing Agreements</strong></span></p> <ul> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Negotiate supply, manufacturing, and component sourcing agreements with domestic and international vendors.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Advise on IP ownership, licensing, and indemnification provisions in manufacturing and OEM/ODM arrangements.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Support hardware and firmware licensing arrangements, including third-party technology integrations.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Assess and mitigate supply chain risk, including allocation, warranty, and liability provisions.</span></li> </ul> <p><span style="font-size: 10pt;"><strong>Intellectual Property & Technology Licensing</strong></span></p> <ul> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Structure and negotiate technology licensing, joint development, and IP assignment agreements.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Advise on IP ownership and licensing considerations in collaborations with research institutions, universities, and technology partners.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Support patent, trademark, and trade secret protection strategies in collaboration with IP counsel.</span></li> </ul> <p><span style="font-size: 10pt;"><strong>Risk Management & Cross-Functional Support</strong></span></p> <ul> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Advise on limitation of liability, indemnification, warranty, and insurance provisions across commercial agreements.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Partner with Finance and Insurance teams to align contract terms with the company’s risk tolerance and coverage.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Provide practical, business-minded legal guidance to internal stakeholders navigating deal execution under tight timelines.</span></li> </ul> <p><span style="font-size: 12pt;"><strong>About You</strong></span></p> <ul> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Juris Doctor (JD) or equivalent law degree from an accredited institution.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Active and in good standing bar membership in at least one U.S. state or equivalent foreign jurisdiction, with the ability to obtain authorization to practice where required.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">6–10+ years of post-qualification legal experience as a practicing transactional attorney, including law firm, in-house, and/or government experience.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Demonstrated experience drafting and negotiating commercial, supply/manufacturing, and technology licensing agreements, ideally for hardware, robotics, or technology companies.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Strong deal-structuring experience, including support for advanced product teams and 0→1 product launches.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Experience with corporate transactions, including financings, joint ventures, M&A, and strategic partnerships.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Familiarity with intellectual property, licensing, export control, and international commercial law considerations.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Proven business judgment and ability to provide solution-oriented legal advice that facilitates business objectives.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Ability to manage ambiguity, prioritize competing demands, and create structure in fast-moving environments.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Strong communication and stakeholder management skills, including influencing executive-level partners.</span></li> <li style="font-size: 10pt;"><span style="font-size: 10pt;">Commitment to
