Reporting to the General Counsel, this individual will support the company’s transition to public-company standards while providing legal guidance on corporate transactions, securities compliance, and day-to-day business operations. The ideal candidate combines strong corporate and securities law expertise with the ability to operate pragmatically in a fast-paced, high-growth environment. <h2>About the Work</h2> <h3>Corporate Governance</h3> <ul> <li>Support Board of Directors and committee governance, including preparation of Board materials and resolutions</li> <li>Maintain corporate records and oversee entity management across domestic and international subsidiaries</li> <li>Assist with implementation of public company governance practices and policies</li> <li>Advise leadership on corporate governance matters and fiduciary responsibilities</li> </ul> <h3>Securities & Public Company Compliance</h3> <ul> <li style="font-size: 10pt;">Support development of disclosure controls and procedures</li> <li style="font-size: 10pt;">Assist with preparation and review of public company filings, including Forms 10-K, 10-Q, and 8-K</li> <li style="font-size: 10pt;">Coordinate with external counsel on securities law compliance and regulatory matters</li> <li style="font-size: 10pt;">Monitor developments in securities regulations and advise internal stakeholders accordingly</li> </ul> <h3>Strategic Transactions</h3> <ul> <li style="font-size: 10pt;">Support corporate development initiatives, including acquisitions, investments, and strategic partnerships</li> <li style="font-size: 10pt;">Assist in negotiation and documentation of transaction agreements</li> <li style="font-size: 10pt;">Coordinate due diligence processes and post-transaction integration from a legal perspective</li> </ul> <h3>Commercial & Operational Support</h3> <ul> <li style="font-size: 10pt;">Provide legal guidance on a range of commercial agreements, including customer, partner, and vendor contracts</li> <li style="font-size: 10pt;">Partner with internal teams to identify and manage legal risk across the business including with respect to employment related matters.</li> <li style="font-size: 10pt;">Develop and improve contract templates, policies, and internal processes</li> </ul> <h3>Compliance & Risk Management</h3> <ul> <li style="font-size: 10pt;">Support development of internal compliance policies and training programs</li> <li style="font-size: 10pt;">Partner with cross-functional teams to ensure adherence to regulatory requirements</li> <li style="font-size: 10pt;">Assist with enterprise risk management initiatives and internal investigations when necessary</li> </ul> <h3>External Counsel Management</h3> <ul> <li style="font-size: 10pt;">Coordinate with outside counsel on corporate, securities, and transactional matters</li> <li style="font-size: 10pt;">Manage legal budgets and ensure efficient use of external advisors</li> </ul> <h2>About You</h2> <ul> <li style="font-size: 10pt;">Juris Doctor (J.D.) from an accredited law school</li> <li style="font-size: 10pt;">Licensed to practice law in at least one U.S. jurisdiction</li> <li style="font-size: 10pt;">8–12+ years of relevant legal experience</li> <li style="font-size: 10pt;">Corporate and securities law experience at a top law firm strongly preferred</li> <li style="font-size: 10pt;">In-house experience at a technology company preferred</li> <li style="font-size: 10pt;">Experience supporting public companies or IPO readiness highly desirable</li> <li style="font-size: 10pt;">Strong understanding of corporate governance, securities regulations, and commercial transactions</li> </ul> Leadership Profile <ul> <li style="font-size: 10pt;">Practical, business-oriented legal advisor</li> <li style="font-size: 10pt;">Strong communicator capable of translating legal complexity into clear business guidance</li> <li style="font-size: 10pt;">Collaborative partner across Finance, Product, and Operations teams</li> <li style="font-size: 10pt;">Highly organized with strong judgment and attention to detail</li> <li style="font-size: 10pt;">Able to manage multiple priorities in a fast-paced growth environment</li> </ul> <hr> Location <ul> <li style="font-size: 10pt;">This is a fully remote role with the option to work hybrid if a commutable distance from our Salem, OR, Pittsburgh, PA, or Fremont, CA offices.</li> </ul> The final salary offered to a successful candidate will be dependent on several factors that may include but are not limited to: market location, job-related knowledge, skills, and experience.
